Updated Service Agreement (last modified 8-12-2025)
- Project Services: Addis Enterprises will perform all mutually agreed-upon work and services as requested by the Client, and stay in constant communication with the Client throughout all projects.
- Delivery of Product: Documents and design files created for the Client will be delivered digitally to the Client if/when requested, or transferred to physical media provided by the Client. Physical products ordered on behalf of the Client will be shipped or hand-delivered to the Client’s place of business, and Client agrees to pay any and all expenses for this product to be shipped or delivered.
- Rights of Product: Upon receipt of final payment for services, all rights, title, copyright, and other intellectual property in any deliverables created by Addis Enterprises for the Client shall be the sole and exclusive property of the Client. Addis Enterprises retains only limited perpetual rights to show completed work in our portfolio, on our website, on social media, in award submissions, or in similar professional settings to illustrate work we have performed. Custom visual design work created for Client cannot be sold, transferred, or licensed to another Client, though Addis Enterprises retains the right to re-use underlying development code, frameworks, or tools created in the course of the project for future work. Raw stock photographs, video, and music files are licensed by Addis Enterprises and may require separate licensing by the Client.
- Creation Method: Addis Enterprises has the right to determine the method, details and means of performing the work to be performed for the Client. This means that Addis may choose what software and hardware is to be used in order to complete the product for the Client, except where mutually-agreed to use specific tools.
- Designer Commitment Guarantee: John K. Addis and/or Tony Sabo will serve as the Creative Director(s) on all products performed for the Client by Addis Enterprises. Implementation of approved designs will be undertaken by Addis Enterprises affiliates/staff/employees or agents of Addis Enterprises. Though we are committed to fully in-house design and development whenever possible, Addis Enterprises reserves the right to use highly-vetted subcontractors on individual tasks when deemed necessary to project success or tight deadlines, with transparency to the Client. Client understands by their acceptance of this agreement that the subcontractors will have the same conditions of confidentiality as stated in section three (3) above.
- Communication: Communication is a key factor in facilitating the task at hand and completing the Client’s project efficiently and effectively. In order to complete the project to the Client’s satisfaction and in a timely manner, the Client understands by their acceptance of this agreement that Addis Enterprises will send emails to the Client. Client agrees that time is of the essence in responding to emails specifically if there is a deadline on a project. Client also understands that Addis Enterprises may send digital and/or physical mailings and newsletters from time to time, though the Client may opt-out of the newsletter via the "unsubscribe" link at the bottom of these emails. By signing this service agreement, Client agrees to allow such correspondence by Addis Enterprises.
- Payment Terms: Addis Enterprises understands that every client has different needs and we value this in our clients. All Addis Enterprises staff, up to and including the CEO & Chief Strategist, bill at the same rate. This rate may be adjusted periodically to reflect current levels of experience, changes in overhead costs, and external factors such as inflation, but Clients are always provided advance notice of such adjustments, which go into effect at the beginning of a new calendar year.
Addis Enterprises provides three options for pricing to best serve our clients' interests. The options are as follows:
By the hour: Our hourly rate is pro-rated in 15-minute increments, with monthly invoices reflecting the previous month's hours.
By the project: Project pricing is estimated using our hourly rate, with fifty percent (50%) of the total estimated cost billed prior to the start of the project, and the remaining fifty percent (50%) due prior to the project launch. If the client chooses this option, Client agrees by their acceptance of this agreement that Addis Enterprises and/or its affiliates will hold the project until the payment is satisfied in full.
By the block (most popular): Hours can be pre-purchased in blocks of 10 at a reduced, fixed price per block, with all personnel and projects billing at a discounted hourly rate, time pro-rated to the second. Block hours can be used for all Addis Enterprises services. Addis Enterprises will notify the Client how many block hours are remaining throughout project development. Fully unused hours (rounded to the nearest hour) can be refunded at the written request of the Client within six (6) months of purchase, but not afterward. Pre-paid block hours never expire and are not subject to rate adjustment in the future. Usually, Client will have their balance remain with Addis Enterprises which will be held in escrow in order to complete future tasks as needed. The pre-paid discount is only available for blocks of time that are paid in advance of work; Addis Enterprises reserves the right to charge our full undiscounted hourly rate if funds are not pre-paid before work is performed.
In addition, clients who have been with Addis Enterprises for a minimum of five (5) years become eligible for Lifetime VIP Status, which reduces our hourly rate and our block price even further. Clients will be notified when they become VIP-eligible, and their discount will go into effect automatically.
By Client’s acceptance of this agreement, Client understands that Addis Enterprises has explained in detail the difference between the three different billing options and Client will choose which billing option(s) they prefer. Client also understands that for hourly and project-based work, invoices paid after thirty (30) days may be subject to a monthly interest rate of 1.5% for any and all late payments until the account is paid in full. For all invoices, Addis Enterprises may charge processing fees related to credit card purchases where allowed by law, but not to checks, cash, or debit card purchases.
Client understands by their acceptance of this agreement that if the services are not paid completely, Addis Enterprises reserves the right to take any and all legal action required to receive payment of services. Client understands that this may mean any and all court filing fees, attorney fees and any costs associated with legal remedies.
-
Scope Change: Addis Enterprises is committed to a collaborative and flexible production model which allows for changes to scope throughout the project lifecycle. If for some reason there is a requested change outside the scope or perimeters of the original project, Client understands that they may need to sign a separate agreement that will be incorporated into an original agreement. Client understands that the Client is responsible for any and all costs that were performed regarding the original project estimate and will be billed separately for the additional costs that were performed outside the original project estimate.
-
Ethical Practices and Values: Our mission statement, Be Awesome, applies to how we value each and every layer of our work, including our relationships with our team members and our clients. Addis Enterprises promises to adhere to the highest standard of conduct based upon ethical guidelines championed by the Graphic Artists Guild, and by our own Values Tenets which detail and define expected standards of conduct between internal staff, contractors, and clients. By entering into an agreement with Addis Enterprises, both our team and our clients mutually commit to being helpful, transparent, respectful, responsive, and appreciative of each other throughout the working relationship.
-
Termination: In the unlikely event of Client’s dissatisfaction with the working relationship or project deliverables, either party has the right to terminate this contract/agreement by sending a dated, written notice. Client agrees by their acceptance of this agreement to pay any and all billable hours that had already been tracked by Addis Enterprises and affiliates at the time of the notice. The amount of services will be deducted by the amount of pre-paid hours that were remaining at the time of service, and if the service was hourly, the Client agrees to pay the hourly rate within ten (10) days of the date of termination.
-
Warranty: Addis Enterprises warrants and represents that it will perform all project work with due diligence, professionalism, and in full compliance with the terms of this contract/service agreement. The Client acknowledges and agrees that services provided by Addis Enterprises are based on the time and expertise rendered, rather than a guarantee of a "perfect" final product. While Addis Enterprises will endeavor to deliver high-quality results, the nature of creative and technical projects means that outcomes are subject to interpretation, external constraints, and evolving requirements.
Necessary elements of any ongoing project, including repairs, bug fixes, troubleshooting, and other technical adjustments, are tracked and billed at an hourly rate. These efforts may represent additional time and resources spent addressing issues, and any such work that exceeds the remaining pre-paid hours balance or hourly allotments will be billed according to the terms set forth above.
Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Lansing, Michigan, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. The parties agree that arbitration shall be the exclusive remedy for disputes under this Agreement. -
Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, strikes, pandemics, government actions, power failures, internet outages, or natural disasters. If such an event continues for more than thirty (30) days, either party may terminate the agreement without liability.
-
Indemnification & Hold Harmless Clause: Client agrees to indemnify, defend, and hold harmless Addis Enterprises, its officers, directors, employees, affiliates, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney fees and costs, arising out of or in connection with: A) Any use of the deliverables provided by Addis Enterprises in a manner that violates any law, regulation, or third-party rights (including intellectual property rights). B) Any modifications or alterations made to the deliverables by the Client or any third party without the written consent of Addis Enterprises. C) Any claims of misrepresentation, negligence, or breach of contract arising from the Client’s own representations, actions, or misuse of the services or deliverables provided by Addis Enterprises. D) Any third-party claims related to content, materials, or instructions provided by the Client to Addis Enterprises for incorporation into the deliverables. This indemnification obligation shall survive the termination or expiration of this agreement.
-
Service Agreement Terms: The terms of this agreement shall replace all prior Service Agreements upon acceptance of the Client. This agreement will continue through the end of the working relationship, an update to the agreement, or termination of this agreement. This contract was written in Michigan, and Michigan laws govern this contract regardless of Client location, except in circumstances where the state law of the Client's residence may be applicable (e.g. credit card processing fees.) If for some reason there is a clause in this agreement/contract that becomes no longer legal in Michigan, all remaining clauses will be honored and enforced by Michigan Courts.
